Membership Terms And Conditions
- NAME AND PROPRIETOR
1.1 The company shall be called “The Yellowline Club” or “Yellowline” and shall operate and trade under that name.
1.2 The proprietor of The Yellowline Club is Yellowline Management Limited – Company No: 8500911– (“Proprietor”).
- LOCATION
2.1 Yellowline community shall be primarily virtual and for specific events may use any of Yellowline’s primary or temporary locations.
2.2 The Yellowline Business Club shall hold its meetups and events across any of its primary locations across different cities or states in different parts of Africa. YELLOWLINE’s events may also be held in temporary locations not owned by Yellowline Management Ltd or any of its partner members.
2.3 The precise location for any club event or activity shall at any appropriate time be disclosed to members eligible for the said meeting, event or activity.
- PURPOSE
3.1 The Yellowline Club’s purpose is to help young Africans reach financial freedom and achieve early retirement in or around 10 years.
3.2 The Yellowline’s Business Club purpose is to help people in businesses be prosperous and profitable in their businesses by referring businesses to them, helping them grow their revenue, helping them grow their network and providing an all-round support system designed to help them solve their problems at different points in time.
32.3 To help members of the club and community grow wealth sustainable which is in line with our vision to be the largest private business club of young African centi-millionaires and billionaires with a shared history of doing business together. And in turn achieve a broader vision of a just, prosperous and sustainable Africad whilst also ensuring we ourselves are an industry leader in sustainable and ethical business practices and hospitality.
- MEMBERSHIP
4.1 The Yellowline Club has a community membership which operates a Subscription model and a Business Club membership which has a 10 year commitment with varying membership benefits.
4.2 Membership is a minimum 10 year commitment of a sum (currently ONE MILLION NAIRA or it’s equivalent) to the Yellowline members target- date fund (Yellowline Decade Fund), unless specified otherwise.
4.3 Yellowline Business Club Membership is the standard membership category open to anyone who is able to demonstrate an active interest in operating a business or investing in businesses and engagement in social impact work.
4.8 Digital Membership is a category for Members who only have access to The Yellowline Club’s online content via the website and other educational Portals. If a Member would like to have access to full regular Membership Benefits, they would need to either subscribe as a community member to access regular updates, investment structuring, retirement planning, success Templates and guidance, or upgrade to a business club Membership, for a full minimum 10 year period.
- ADMISSION
5.1 The Yellowline Club has the right to determine the maximum number of Members at any point in time.
5.2 Members maybe entitled to bring a guests with them into The Yellowline Club or its private events at any one time. Guests of Members are not permitted to be in The Yellowline Club without the Member present.
5.3 Any of the following persons may apply or be nominated for Membership: (i) individuals who are 18 years of age or older, (ii) a person running or operating a business or an investor in businesses or (iii) a corporate body or partner.
5.4 All applications for Membership shall be submitted on the Membership Application Form.
5.5 The Yellowline Club, through the Membership Committee, shall be responsible for considering and approving any application or nomination for Membership. The Membership Committee’s decisions regarding applications or nominations for Membership shall be final.
5.6 The Yellowline Club requires that each Membership Application Form submitted shall provide full and honest disclosure about the person applying or nominated for Membership. Where The Yellowline Club subsequently determines any application or nomination for Membership has been approved due to misrepresentation and/or the withholding of pertinent information, The Yellowline Club may, upon written notice to the relevant Member: (i) decide not to approve their registration as a Member or (ii) revoke their Membership, as appropriate.
5.7 The Yellowline Club’s Membership team shall notify successful applicants or nominees in writing that their application for Membership has been successful and invite them to register as a Member.
5.8 The Yellowline Club shall not be required to give any reasons to an applicant in the event of their application for Membership being unsuccessful.
- MEMBERSHIP TERMS AND CONDITIONS
6.1 All admissions to the Membership are subject to a Member confirming their acceptance and continued compliance with these Terms and Conditions and all other supporting documents and operating documents that may guide their Membership Category.
6.2 Whilst at The Yellowline Club, a Member shall be required to comply with The Yellowline Club’s Community Values and House Rules at all times. This includes conduct inside or outside The Yellowline Club premises, which, in the opinion of the Membership Committee, or a Yellowline Club manager or team member might be detrimental to the character or interests of The Yellowline Club or render them unfit to associate with Members.
6.3 Without affecting obligations under the Community Values and House Rules, the following behaviours or offences will lead to expulsion of a Member from The Yellowline Club’s premises and may lead to suspension or termination of membership: violent, absusive or intimidating conduct; discrimination, harassment or bullying on the basis of religion, race, ethnicity, sexual orientation, gender, age, or disability towards a Member, guest or Yellowline Club staff; rudeness or bad language towards a Member, guest or Yellowline Club staff; any action likely to prejudice the Club’s premises licence; serious insubordination under the influence of alcohol; deliberate or reckless damage to Club property; using or possessing illegal drugs; or any action, within or outside the Club, likely to cause a disturbance to residents in neighbouring properties.
6.4 You agree that you will comply with all applicable laws, rules and regulations, and that you will not use the Member’s Portal or App or otherwise communicate with any Member, guest or Yellowline Club staff:
6.4.1 for any unlawful purpose;
6.4.2 to impersonate (or attempt to impersonate) any person or entity, whether actual or fictitious, including any employee or representative of The Yellowline Club;
6.4.3 to transmit (a) any content or information that is unlawful, fraudulent, libellous, defamatory, or otherwise objectionable, or infringes The Yellowline Club or any third party’s intellectual property or other rights; (b) any non-public information about companies or individuals without authorization; or (c) any advertisements, solicitations, chain letters, pyramid schemes, surveys, contests, investment opportunities or other unsolicited commercial communication;
6.4.4 to transmit, or provide links to, any material that could be considered harmful, obscene, pornographic, sexually explicit, indecent, lewd, violent, abusive, profane, insulting, threatening, harassing, hateful or otherwise objectionable, includes the image or likeness of individuals under 18 years of age, or contains any personal contact information or other personal information identifying any third party;
6.4.5 to transmit, or provide links to, any material that harasses, victimizes, degrades, or intimidates an individual or group of individuals on the basis of religion, race, ethnicity, sexual orientation, gender, age, or disability;
6.4.6 to harvest or collect information about Member’s Portal or App users.
6.5 The Yellowline Club emphasises that each Membership Category may be subject to additional or special terms beyond the provisions of these Terms and Conditions (“Membership Category Terms”). The Yellowline Club will notify the Member of the Membership Category Terms which apply to their Membership Category as part of the Membership application or nomination process.
- MEMBERSHIP FEES
7.1 The Yellowline Club shall determine the Membership Fees periodically at its sole discretion. Members will be notified of any increase to the Membership Fees before renewal of their Membership under clause 9.
7.2 All Membership Fees are to be paid in advance (either annually, quarterly or monthly, as indicated in the Membership Category Terms applicable to the Member) on a date determined by the Membership Committee.
7.3 A Member acknowledges that their Membership shall only be confirmed by The Yellowline Club on receipt of the portion of Membership Fees payable in advance upon becoming a Member (either annually or quarterly, as indicated in the Membership Category Terms applicable to the Member).
7.4 A Member’s continued Membership is subject to payment of their Membership Fees in full and on time.
7.5 A Member may pay their Membership Fees to The Yellowline Management or its indicated affiliate by direct debit. The Yellowline Club does not accept the payment of Membership Fees in cash.
- MEMBERSHIP CARDS
8.1 Upon admission to The Yellowline Business Club, a Member will be provided with a digital card via the Yellowline Club App or a physical card within 3 months of Membership. .
8.2 Where a Member loses their membership card, the Member should contact The Yellowline Club (via the Membership team) for a replacement. A replacement card will then be issued. If a Member loses their card more than twice, any subsequent replacement Membership cards will be subject to payment of an administration fee which shall be determined from time to time by the Membership Committee.
8.3 A Member acknowledges that their Membership is not transferrable or assignable, unless The Yellowline Club agrees otherwise in writing. In addition, a Member providing their Membership card to non-Members to gain access to The Yellowline Club or benefit from the associate partnership perks will be subject to disciplinary action, including possible termination of their Membership.
8.4 Upon termination or expiry of their Membership, a Member must return their Membership card to The Yellowline Club (via the Membership team).
- MEMBERSHIP TERM, RENEWAL AND CANCELLATION
9.1 A community Member’s initial Membership term shall be twelve months from the date The Yellowline Club approves their registration as a Member (“Membership Registration Date”). A monthly community Member’s Membership term shall be one month from the date The Yellowline Club approves their registration as a member.
9.2 Subject to the remaining provisions of this clause 9, a community Member will have their Membership automatically renewed for a further year on each anniversary of their Membership Registration Date. A monthly community Member will have their Membership automatically renewed for a further month at the end of each month since their Membership Registration Date.
9.3 Where a community Member does not wish to renew their Membership, the Member must notify The Yellowline Club (via the membership team) in writing of their wish not to renew one month prior to their Membership Registration Date.
9.4 Where The Yellowline Club has not received notification from the Member that they do not wish to renew their Membership within the above timeframe, The Yellowline Club shall automatically renew their Membership, subject to the provisions of clause 9.5.
9.5 Notwithstanding a Member’s wish to renew their Membership, The Yellowline Club (via the membership team) may in its sole discretion decide:
9.5.1 not to renew any Membership, irrespective of whether the relevant Member is in breach of these Terms and Conditions or not; or
9.5.2 to propose a change in the Membership Category of the Member.
9.6 Where a regular Member wishes to cancel their Membership mid-year, The Yellowline Club may terminate the Membership but the Member will still be liable for payment of the Membership Fees in full for the remainder of the year, unless The Yellowline Management agrees otherwise in writing.
9.7 Member joining fees are non-refundable once services have commenced unless otherwise stated.
9.8 Where a community Member wishes to renew their Membership after having cancelled their Membership, the standard fee will apply.
- EXPULSION OR SUSPENSION
10.1 Where a Member is more than one payment in arrears on their Membership Fees, The Yellowline Club may terminate their Membership upon 14 days’ written notice.
10.2 Where a Member is in breach of these Terms and Conditions, The Yellowline Club may, by decision of the Membership Committee, expel or suspend a Member from the Membership, provided that the Member has been given the opportunity to put their case to the Membership Committee in writing or at a face-to-face meeting (such format being at the Membership Committee’s discretion).
- SABBATICAL
11.1 In the case of Maternity or Paternity Leave, a member may request a sabattical for up to six months by written request (with a suspension of Membership Fees). A member may still use The Yellowline Club during this period and benefit from full member benefits.
11.2 The Membership Committee retains sole discretion over whether to grant a Member a sabbatical from their Membership. However, in any event, a Member may only be granted a sabbatical once every five years, unless there are exceptional circumstances.
- MEMBERSHIP CATEGORY CHANGE
12.1 A Member by written notice to The Yellowline Club (through the Membership team) may request a change in their Membership Category. The Yellowline Club (through the Membership team) shall at its sole discretion decide whether to approve or decline the request.
12.2 Where a Member has their Membership Category altered, the Membership Fees for the remainder of the current Membership year shall be paid in full, then revised with the Membership Benefits for future Membership years to match the new Membership Category.
- MANAGEMENT
13.1 The Proprietor retains control and responsibility for the conduct and operation of The Yellowline Club.
13.2 The Proprietor shall make all decisions on all matters apart from those specifically delegated to the Membership Committee or the Membership Team.
13.3 The Proprietor at its discretion may delegate such responsibilities and powers to committees within The Yellowline Club as they deem appropriate.
- MEMBERSHP COMMITTEE
14.1 The Proprietor shall appoint the Membership Committee annually, which shall be constituted of at least three members of The Yellowline Club’s management or personnel.
14.2 Select Members may be entitled to be appointed to the Membership Committee.
14.3 Decisions of the Membership Committee shall be made on a majority basis.
14.4 The Membership Committee shall meet as often as the business of The Yellowline Club may require.
14.5 All resolutions of the Membership Committee shall be subject to and may be vetoed by the Proprietor. The Proprietor’s decision in all matters is final.
- LIABILITY
15.1 Nothing in these Terms and Conditions limits or excludes The Yellowline Club’s liability for death or personal injury caused by The Yellowline Club’s negligence or any other liability which cannot be limited or excluded by applicable law.
15.2 Except as set out above in this clause 15, The Yellowline Club’s liability to a Member arising or in connection to a Membership or use of The Yellowline Club in contract, tort or otherwise shall not exceed the sum of the annual Membership Fees paid by the Member.
15.3 A Member acknowledges they are responsible for their personal property and belongings whilst at The Yellowline Club (and the personal property and belongings of their guests). The Yellowline Club shall not be responsible for any loss or damage howsoever caused to a Member’s (or their guests’) personal property or belongings whilst at The Yellowline Club.
- VARIATION
The Yellowline Club may amend these Terms and Conditions or the Community Values or House Rules at any time upon 30 days’ written notice to the Members at its absolute discretion.
- DISPUTES
Any dispute as to the interpretation of these Terms and Conditions shall be referred to the Proprietor, whose decision shall be final.
- DATA PRIVACY
The Yellowline Club shall handle personal information provided by a Member or prospective Member in accordance with The Yellowline Club’s privacy policy.
- ENTIRE AGREEMENT
These Terms and Conditions (and the documents referred to within them) constitute the entire agreement between The Yellowline Club and the Member in relation to its subject matter, and supersedes and extinguishes all previous agreements, representations and understandings between The Yellowline Club and the Member, whether written or oral, relating to its subject matter.
- SEVERANCE
If any provision or part-provision of these Terms and Conditions are or become unenforceable, it shall be deemed modified (or, if not possible, deleted) to the minimum extent necessary to make it enforceable, which shall not affect the enforceability of the rest of these Terms and Conditions.
- NOTICES
21.1 Any notice given to a party under or in connection with these Terms and Conditions shall be in writing and shall be:
21.1.2 delivered by hand or by pre-paid first-class post or other next working day delivery service to The Yellowline Club at the address stated or to the Member at the address stated in their Membership Application Form (as may be updated on notice to The Yellowline Club from time to time); or
21.1.2 Sent by email to The Yellowline Club at [membership@Yellowline.Club] or to the Member to the email address specified in their Membership Application Form (as may be updated on notice to The Yellowline Club from time to time).
21.2 Any notice shall be deemed to have been received:
21.2.1 If delivered by hand, on signature of a delivery receipt;
21.2.2 If sent by pre-paid first-class post or other next working day delivery service, at the time recorded by the delivery service; and
21.2.3 If sent by email, at the time of transmission.
21.3 This clause 22 does not apply to the service of any proceedings or other documents in any legal action or any method of dispute resolution.
- GOVERNING LAW
22.1 These Terms shall be governed and construed accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
22.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
- DEFINITIONS
23.1 The following definitions shall apply in these Terms and Conditions:
“Community Values”: The Yellowline Club’s community values with which a Member is to comply whilst at The Yellowline Club to safeguard the use and enjoyment of The Yellowline Club by its Members and their guests.
“House Rules” The Yellowline Club’s house rules with which a Member and their guests are to comply whilst at The Yellowline Club to safeguard the use and enjoyment of The Yellowline Club by its Members and their guests.
“Member”: a Member of The Yellowline Club.
“Membership”: being a Member.
“Membership Application Form/Membership Nomination Form:” the forms used to apply or nominate an individual to join The Yellowline Club
“Membership Benefits”: the Membership benefits which apply to a Member in relation to their Membership Category.
“Membership Category”: the category of Membership a Member holds.
“Membership Committee”: the Membership Committee appointed by the Proprietor to manage Membership matters relating to The Yellowline Club.
“Membership Fees”: the Membership Fees payable by a Member for their Membership with such Membership Fees reflecting the Membership Category of the Member.
